Re: Permission to use Trademark in Advertising Materials 

Dear [NAME OF PARTY REQUESTING PERMISSION]: 

This letter constitutes authorization by [LEGAL NAME OF TRADEMARK OWNER] (“Company“) for Fullsteam Software Holdings LLC DBA Bay-master(“Bay-master”) to use the trademark(s) set forth in Schedule A (the “Mark(s)“) subject to and in accordance with the following terms and conditions: 

  1. Commencing on the date Company signs this Letter Agreement (the “Effective Date”) Company hereby grants Bay-master the limited, non-transferable, permission to use the Mark(s) shown in Schedule A hereto solely:  
  1. as described or depicted in Schedule A without modification (including without deletion of any trademark markings or legends);  
  1. for the purposes and in the manner described in Schedule A;  
  1. for the period set forth in Schedule A or until this permission is earlier revoked by Company; and 
  1. subject to all limitations and restrictions set forth in Schedule A. 
  1. Bay-master right to use the Mark(s]) is solely as set forth in Schedule A. No other use of the Mark(s) is permitted without the express written consent of Company. 
  1. Bay-master shall not depict the Mark(s) in any manner or in any materials that would tend to denigrate, disparage, tarnish, present in a false light, or otherwise reflect negatively on the Mark(s), the Company, or any of the Company’s products or services. 
  1. Bay-master acknowledges that Company owns all right, title, and interest in the Mark(s) 
  1. This Agreement is governed by and construed in accordance with the internal laws of the State of Delaware without giving effect to any choice or conflict of law provision or rule.  
  1. This letter constitutes the entire agreement of the parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, with respect to such subject matter. This letter may not be modified except in a written instrument signed by both parties. If the foregoing reflects your understanding, please sign this Agreement in the space provided below and send a PDF copy of the fully executed document, to my attention.

Permitted Use. In the promotional materials of Bay-master to identify the Company as a customer or client of Bay-master ; and/or the Case Study attached hereto as Exhibit 1.  

Duration of Use. For as long as Company is a customer of Bay-master software products or services.
